1. About Redactly

Redactly is a trading name ("we", "us", "our"). These Terms of Service govern your use of the Redactly platform, available at redactly.co.uk.

By creating an account or using the service, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

2. The Service

Redactly provides AI-assisted document redaction tools designed to support compliance with the Freedom of Information Act 2000, the Environmental Information Regulations 2004, and Subject Access Request obligations under UK GDPR and the Data Protection Act 2018. The service uses optical character recognition, large language models, and rule-based detection to suggest redactions for human review.

All redaction suggestions are subject to human review before finalisation. You remain solely responsible for the accuracy, completeness, and lawfulness of any redacted document you produce or release.

3. Subscriptions and Payment

Access to Redactly is provided on a subscription basis. Subscription fees, page allowances, and plan details are set out at the point of purchase. We reserve the right to change pricing with 30 days notice to existing subscribers.

Fees are non-refundable except where required by law or as expressly stated in your subscription agreement.

5. Fair Use and Rate Limiting

Redactly is a shared service. To ensure consistent performance for all users, we apply automated rate limits to certain actions including authentication attempts and document uploads. These limits are designed to prevent abuse and do not affect normal use of the platform.

You agree not to attempt to circumvent these limits or use the service in a manner that places excessive or unreasonable load on our infrastructure. We reserve the right to suspend access to accounts that breach these limits in bad faith.

6. Data Processing

When you upload documents to Redactly for processing, we act as a data processor on your behalf. You remain the data controller for any personal data contained in those documents. Our processing is governed by our Data Processing Agreement, which forms part of your subscription agreement.

Documents are processed using Google Cloud services in EU-region infrastructure. We do not use the content of your documents to train AI models.

7. Intellectual Property

The Redactly platform, including its software, design, and AI models, is owned by or licensed to Redactly. You retain ownership of all documents you upload. We claim no intellectual property rights over your content.

8. Limitation of Liability

To the maximum extent permitted by law, Redactly shall not be liable for any indirect, incidental, or consequential loss arising from use of the service, including losses arising from incorrect or incomplete redaction suggestions.

Our total liability to you in any 12-month period shall not exceed the subscription fees paid by you in that period.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

9. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. We will give reasonable notice of planned maintenance where possible.

10. Termination

Either party may terminate the subscription on the terms agreed at point of purchase. We may suspend or terminate your access immediately if you breach these Terms.

On termination, your documents will be retained for the period set out in your retention settings, after which they will be permanently deleted.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
